Terms and conditions governing the use of our website and consulting services. Effective April 4, 2026.
By accessing or using the eComStrategics website (ecomstrategics.com) or engaging our consulting services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
eComStrategics provides e-commerce strategy consulting, search engine optimization (SEO), Answer Engine Optimization (AEO), Generative Engine Optimization (GEO), digital marketing consulting, and related advisory services. The specific scope, deliverables, and timeline for any consulting engagement will be defined in a separate statement of work (SOW) or engagement agreement between eComStrategics and the client.
Our website offers a free SEO, AEO, and GEO audit tool that analyzes publicly available website data. The audit results are provided for informational and educational purposes only. They do not constitute professional advice, a guarantee of results, or a comprehensive assessment of your website's performance. The audit tool provides automated analysis based on publicly available signals and should be used as a starting point for further evaluation, not as a definitive diagnosis. eComStrategics makes no warranties regarding the accuracy, completeness, or applicability of audit results.
While we apply our expertise and best practices to every engagement, eComStrategics does not guarantee specific results, including but not limited to: search engine rankings, traffic increases, revenue growth, conversion rate improvements, or AI search citations. Digital marketing and e-commerce performance are influenced by many factors beyond our control, including market conditions, competitive landscape, algorithm changes, and client implementation of recommendations.
Clients engaging our consulting services agree to:
Unless otherwise specified in a statement of work:
Upon full payment, the client owns all custom deliverables produced specifically for their engagement, including strategy documents, reports, custom content, and campaign assets. Ownership transfers upon receipt of final payment for the applicable deliverable.
eComStrategics retains all rights to its proprietary tools, frameworks, methodologies, templates, audit tools, and general know-how developed independently or before the engagement. Where such pre-existing materials are incorporated into client deliverables, eComStrategics grants the client a non-exclusive, perpetual license to use them for their own business purposes. eComStrategics may use generalized learnings and anonymized insights from engagements to improve its services and tools.
Both parties agree to keep confidential any proprietary or non-public information shared during the engagement. This includes business data, strategies, financial information, and any materials marked as confidential. This obligation survives the termination of any engagement for a period of two years.
To the maximum extent permitted by law, eComStrategics' total liability arising from or related to these terms or any consulting engagement shall not exceed the total fees paid by the client to eComStrategics in the twelve (12) months preceding the claim. In no event shall eComStrategics be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether such damages were foreseeable or whether eComStrategics was advised of the possibility of such damages.
The client agrees to indemnify and hold harmless eComStrategics from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from the client's use of deliverables, implementation of recommendations, or breach of these terms.
Either party may terminate a consulting engagement with 30 days' written notice. Upon termination, the client is responsible for payment of all fees for services rendered through the termination date. Any completed deliverables paid in full will be provided to the client.
By using our website, you agree not to:
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles. Any disputes arising from these terms shall be resolved in the state or federal courts located in Maricopa County, Arizona.
